Acquisitons, Sales and Mergers

Valuations in this area often arise when a party is either selling their business or acquiring a business, or less frequently, merging two businesses. A seller may wonder, “what is a fair asking price?” A buyer may wonder “what is a reasonable offer?” We can assist either side in a transaction to determine a reasonable price and assist with negotiating the transaction to obtain the most favorable terms.

Buy-Sell Agreements

A buy-sell agreement provides a mechanism for a business to transfer ownership amongst new or existing shareholders under agreed-upon terms. An outdated or poorly drafted buy-sell agreement can bring unintended consequences.

A business’ financial statements present information based on historical amounts. The true value of the business could be materially different. Occasionally, the Small Business Administration (SBA) or other lenders will require a formal business valuation for financing purposes.

Various types of damages litigation require a business valuation to be performed. This is generally the case when a material change to the business occurs due to a particular event. The determination of the amount of compensation due the damaged party is based on the difference in the valuation of the business just prior to the event and the valuation of the business at some point in time after the event.
